If you do not accept these terms and conditions, you should not use the website of CoolRent. CoolRent provides a web-based system to allow you to manage renting and booking transactions with other people or organisations. These terms and conditions set out the rights and obligations between CoolRent and you as a member. Transactions between you and another person or organisation will however create rights and obligations between you and the other party. We are not a part of the renting and booking arrangements between you and other parties. Your relationship with others is defined elsewhere. Definitions: "User" means all individuals or entities that access the site, whether the user is a member or not. "Member" means all individuals or entities that are registered on the site in order to use its services. "Member Account" means the private area reserved for each member. It is accessible via a password and contains personal information regarding the member. "Owner" means each member who lists at least one item for rent/exchange, using the cool-rent.com Website. "Renter" means each member who takes (rents or exchanges) an item on the cool-rent.com Website. "Website" means the cool-rent.com website through which our services are offered, and includes any other channels through which our services may be provided. "Rental Agreement" means the agreement made between the Owner and the Renter, obligating the Owner to transfer the usage of the item (object of the contract), and obligating the Renter to pay in exchange an amount, determined in advance or defined by the rental agreement. "Exchange Agreement" means the agreement made between the Party One and the Party Two, obligating the both parties to transfer the usage of the items (object of the exchange agreement). "Rental Listing" means an information published by the Owner advertising an item available for rental. "Exchange Listing" means an information published by the Owner advertising an item available for exchange. "Booking Request" means the request made by a Renter to take (rent or exchange) a particular Rental Listing. "Acceptance of the Booking Request" means the online acceptance by the Owner of a Booking Request made by a Renter, and the concurrent creation of an effective contract between the Owner and the Renter for a particular item. "Personal Information" means any personally identifiable information collected through the Website about the individual, including but not limited to the individual's name, address, and telephone number. "Service" means the Services that CoolRent offers through its website, including but not limited to providing an online presence to view, rent, or post Rental/Exchange Listings and other Content. "Content" means Rental or Exchange Listings, comments, messages, text, files, images, photos, video, sounds, or other materials posted on, transmitted through, or linked to the Website. "you" and "your" are a reference to the user of the CoolRent website as an individual or as an organisation agreeing to these terms and conditions when becoming a member. "we", "us" and "our" are references to CoolRent. CoolRent description: CoolRent does not itself offer any rental/exchange services. The site is an online marketplace only, designed for the unique purpose of putting people who want to rent/exchange things in touch with people who have things to rent/exchange. We never intervene in the transaction between the Renter and the Owner. CoolRent cannot thus be considered part of the Rental or Exchange Agreement between members of the Site. CoolRent exercises no control over the quality, safety or legality of Items listed, or over the truthfulness or accuracy of the Rental or Exchange Listings, or over the ability of Owners to rent/exchange the Items listed or over the ability of Renters to rent or pay for the rental of any Items. We do not guarantee that the Parties will complete any or all terms of the transaction. Any security deposits or guarantees required by the Owner in whatever form, remains the sole responsibility of the Renter and Owner. CoolRent is not responsible for the collection, retention, or refunding of any security deposit, for the control of the exact identity of the Owner and the Renter, or for collecting money owed by the Renter to the Owner or by the Owner to the Renter. Becoming a member: Becoming a member is free. You simply need to complete the online registration process. Anyone who is 18 years of age or older can become a member, unless to do so would breach any law or regulation applicable to you where you live. When you register as a member, you must provide to us complete, accurate and current personal information. If you are registering on behalf of a club, group, or other organisation, you must provide us complete, accurate and current information about that club, group or organisation as required, and must provide the accurate details of the person representing the organisation. You must maintain and update your personal/organizational information held by us to ensure it is kept current at all times. You must not register as a member under multiple identities or personas (whether false or not). We may phone or mail you to verify these details. We reserve the right to decline to register or to terminate your membership at any time. For example, but without limitation, we may terminate your membership if we receive significant complaints about you from other members, if you breach these terms and conditions, or in exceptional circumstances if we, at our sole discretion, deem your behaviour to be unacceptable. You will not hold us liable for claims, demands or damages (actual and consequential) of any kind for the closing of a Member Account. The Member Account is personal and cannot be transferred to a third party. The member commits to keep confidential the password he or she chooses for accessing his or her Member Account. The Member Account and the password are personal and cannot be shared, communicated or transferred to any other individual or entity, except as required by law. Fees and Services: Joining CoolRent is free. We do charge fees for using other services described in the pricing section. CoolRent reserves the right to change at any time its policies regarding Rental or Exchange Listing fees, commissions and other services fees. We will notify you of any change by notice on the website. In the event that we introduce a new service, we will provide information about the fees for that service on the website. Such fees will come into effect when they are posted on the website. Before listing an item or booking an item, you should review our fees to ensure you are aware of the fees that you will incur. You are responsible for paying all fees and applicable taxes associated with our sites and services in a timely manner with a valid payment method. Our fees are non-refundable, and you are responsible for paying them when they're due. If you don't, we may limit your ability to use the services. Intellectual Property: We own all proprietary and intellectual property rights in the website (including text, graphics, logos, icons and sound recordings) and the software and other material underlying and forming part of our services and the Website. You may not without our prior written permission, in any form or by any means: adapt, reproduce, copy, store, distribute, perform, publish or create derivative works from any part of this Website; or commercialise, copy, hire or sell any information obtained from any part of this Website. Content: CoolRent contains stuff from us, you, and other users. You agree not to copy, modify, or distribute CoolRent, our copyrights or trademarks. When you give us content, you are granting us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable right to exercise the copyright, publicity, and database rights to that content. Liability: You will not hold CoolRent responsible for other users' content, actions or inactions, or items they list. We have no control over and do not guarantee the quality, safety or legality of the items, the truth or accuracy of users' content or listings, the ability of owners to publish items for rent/exhcange, the ability of renters to pay for items, or that a renter or owner will actually complete a transaction. You agree that we take no responsibility or liability for any misconduct of any of our members including, without limitation, members that have registered under false pretences or who attempt to defraud you. We give no undertakings, representations, or warranties in relation to items rented or exchanged on the website, or the character of any other member of the CoolRent website. If you and another party agree to rent/exchange, book items, then you and that other party must do so by agreement between yourselves. We do not act as agent for either party and do not participate in any transaction between you and other members. The terms and conditions of any arrangement between you and another person or member (including the default terms and conditions provided by us as altered, extended, overwritten or not) are exclusively and entirely part of your arrangement with another party that you are transacting with. We will use our reasonable endeavours to ensure the availability of the website and services, subject to any downtime required for maintenance. However, we do not warrant that: the services provided will be uninterrupted, timely, secure, or error free; or that any information (including feedback) provided on the website is error-free or reliable. If we have advertisements on the website, we are not responsible for the actions of the advertisers. Each advertiser is solely responsible for the content of and any representation made in connection with its advertisement. The placement of such advertisements on the website does not constitute our recommendation or endorsement of the advertised product or service. We exclude all liability to you. You expressly understand and agree that your use of our services is at your sole risk. You agree that, to the maximum extent permitted by law, any and all liability and responsibility of us to you or any other person under or in connection with these terms and conditions, or in connection with our services, this website, another member's acts or omissions, or your use of or inability to use, our services or this website is excluded regardless of whether such liability arises in contract, tort (including negligence), equity, breach of statutory duty or otherwise. Our liability and responsibility is excluded in respect of any and all loss or damage, whether direct or indirect, including, without limitation, loss of profits, loss of data, loss of business or anticipated savings, general and special damages, and consequential and incidental loss. Rules for members: You can list on the Website only items that you legally own and services that can be legally performed. We have created a list with the items that can not be listed (see here). Any items which you cannot legally possess or any services that you cannot legally perform must not be listed on the website in any form. The listed items must not break any law and must follow the CoolRent specific regulation. We reserve the right to, remove any listing which we deem inappropriate or in breach of these terms and conditions. You must not list items for sale. No form of auctioning of items is allowed. If you are listing real estate for lease through the CoolRent services, after a member accepts your offer of a lease via our services, you and the other member must agree in writing on the terms of lease. Your listings must be accurate, current, and complete. You must include all relevant information about the terms on which you will rent or exchange an item, including price, payment method, shipping methods and whether insurance is required (and if so who pays for it and whose interests should be noted). You must list an item that is fit for its purpose and you must warn the renter of any known defects. You must not create items and services that are illegal. You must not create booking requests for items and services that are illegal. You must only accept booking requests if you intend to complete the transaction at the listed price and on the terms agreed. If payment for the items you book is required, you must make full and prompt payment. If payment is not required, then you must promptly complete the transaction as agreed. You must return any booked items immediately upon the expiry of the booking period. You must not create items that you have booked unless you have the owner's consent. Feedback - evaluation: Evaluation and comments you provide on other members should be honest and objective and must not contain offensive, defamatory or inappropriate language. We have the absolute right to determine what is considered offensive, defamatory or inappropriate language, and to remove any such entries. User Disputes: You are solely responsible for your interactions with other CoolRent users. As we are not a party to any transaction between you and another member, you agree not to involve, or attempt to involve, us in any dispute or in the resolution of disputes that arise between you and another member as a result of the use of our services. Termination: CoolRent may terminate your membership, delete your account and any content or information that you have posted on the Website for any reason, or no reason, at any time in its sole discretion, with or without notice, including if it believes that you are under 18. General: We can amend these terms and conditions at any time in whole or in part. Amendments will be effective immediately upon posting of the amended terms and conditions on this website. You are responsible for ensuring you are familiar with the latest terms and conditions. Your continued use of our services represents your agreement to be bound by the terms and conditions as amended. We are not responsible for things we cannot control. We have no liability for any lack of performance, unavailability or failure of our services or the website, or for any failure of us to comply with these terms and conditions if our failure arises from, or is caused by, anything reasonably beyond our control.
